Terms of Service

These Terms of Service ("Terms") govern your access to and use of the TalkPal mobile application and website at talkpal.chat (collectively, the "Service") operated by NEA-I ("Company", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 17 years of age to use this Service. By using the Service, you represent and warrant that you are at least 17 years old. We may require age verification during account registration. If we discover that a user is under the minimum age, we will terminate their account and delete their data.

2. Account Registration

• You may need to create an account to access certain features
• You are responsible for maintaining the confidentiality of your account credentials
• You agree to provide accurate, current, and complete information
• You are responsible for all activity that occurs under your account
• You must not create multiple accounts or share account access

3. Description of Service

TalkPal provides AI-powered tools for interactive entertainment, including:

• AI chat companions with customizable characters and roleplay scenarios
• AI-generated stories and narrative experiences
• Voice synthesis and voice chat features
• AI video generation from prompts and media inputs
• Scene building and interactive content creation
• Points/rewards economy for engagement incentives

4. User Content

4.1 Your Content

You retain ownership of the content you submit ("User Content"), including chat prompts, uploaded images, audio, and scene configurations. By submitting User Content, you grant us a limited, non-exclusive, royalty-free license to process it solely for the purpose of providing the Service.

4.2 Generated Content

Content generated by the AI ("Generated Content"), including chat responses, stories, voice output, and videos, is provided for your personal use. You may share Generated Content on social media and other platforms, provided you:

• Clearly indicate that the content is AI-generated when sharing publicly
• Do not misrepresent AI-generated content as created by a real person
• Comply with the platform's terms of service

4.3 Content Restrictions

You agree not to use the Service to create, upload, or distribute content that:

• Depicts, promotes, or facilitates child sexual abuse material (CSAM) or the exploitation of minors
• Contains non-consensual intimate imagery of real individuals
• Impersonates real individuals without their consent
• Incites violence, terrorism, or hatred against protected groups
• Is illegal in your jurisdiction
• Infringes any intellectual property rights of third parties
• Contains malware, viruses, or any malicious code
• Attempts to circumvent content moderation or safety filters

5. Content Moderation

We employ automated and manual content moderation to maintain a safe environment. We reserve the right to:

• Filter, block, or modify AI-generated content that violates our policies
• Review user-submitted content for compliance with these Terms
• Suspend or terminate accounts that repeatedly violate content policies
• Report illegal content to relevant authorities as required by law

6. Points and Virtual Economy

• Points are virtual items earned through engagement activities or purchased via in-app purchases
• Points have no monetary value and cannot be exchanged for cash or transferred to other users
• We reserve the right to modify the points economy, including earning rates and redemption values, with reasonable notice
• Unused points may expire after 12 months of account inactivity
• Points balances are non-refundable upon account termination for Terms violations

7. Subscriptions and Payments

7.1 Subscription Plans

The Service offers free and premium subscription tiers. Premium features, pricing, and availability may change at our discretion with reasonable notice.

7.2 Billing

Subscriptions are billed through Apple App Store or Google Play Store. Payment terms are governed by the respective platform's terms. We do not directly process payment transactions.

7.3 Cancellation and Refunds

• You may cancel your subscription at any time through your device's app store settings
• Cancellation takes effect at the end of the current billing period
• Refund requests are handled by Apple or Google per their respective refund policies
• We do not provide direct refunds for app store purchases

8. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or to facilitate illegal activities
• Reverse engineer, decompile, or disassemble any part of the Service
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated means (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or its infrastructure
• Attempt to extract, replicate, or reverse-engineer the AI models powering the Service
• Use the Service to develop competing AI products or services
• Harass, threaten, or abuse other users or our staff

9. Intellectual Property

The Service, including its design, code, AI models, characters, logos, trademarks, and content (excluding User Content), is owned by or licensed to the Company and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our written consent.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-generated content may contain errors, biases, hallucinations, or inappropriate material despite our safety measures. We do not warrant the accuracy, completeness, reliability, or suitability of any AI-generated content. You use AI-generated content at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE OR ANY AI-GENERATED CONTENT.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless the Company, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your sharing of Generated Content, or your violation of these Terms.

13. Termination

• We may suspend or terminate your access to the Service at any time for violation of these Terms, content policy violations, or for any other reason at our discretion
• You may terminate your account at any time through app settings or by contacting us
• Upon termination, your right to use the Service ceases immediately
• We will delete your data in accordance with our Privacy Policy retention schedule
• Provisions that by their nature should survive termination will survive (including Sections 10, 11, 12)

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the app or via email at least 14 days before they take effect. Your continued use of the Service after such changes constitutes acceptance.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from these Terms or the Service shall be resolved through good-faith negotiation first, followed by binding arbitration if necessary.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
